# FilmContractor End-User Licence Agreement

IMPORTANT: PLEASE READ THIS END-USER LICENCE AGREEMENT ("AGREEMENT") BEFORE INSTALLING, ACCESSING OR USING FILMCONTRACTOR. BY INSTALLING, ACCESSING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
Nothing in this Agreement limits any mandatory right or remedy that cannot lawfully be excluded or restricted.

FilmContractor is part of the Movie Accountant Suite product family.
## 2. Definitions
In this Agreement:
- **Software** means the FilmContractor Windows application, its included resources, example files, documentation and updates supplied under this Agreement.
- **Publisher** means the person identified in Section 1.
- **User** means the individual who installs, accesses or uses the Software.
- **Licensee** means the individual or organisation that lawfully acquires the licence.
- **Trial** means the seven-day, full-featured evaluation period described in Section 5 and administered by the applicable Authorised Distribution Channel.
- **Paid Edition** means FilmContractor Full activated or acquired through an Authorised Distribution Channel.
- **Major Version** means a principal product release identified by the first number in the version number, for example version 1 in releases 1.0 and 1.5.
- **Authorised Distribution Channel** means Gumroad, the Microsoft Store when available, or another sales and distribution channel expressly authorised by the Publisher.
## 3. Ownership and nature of the licence
The Software is licensed, not sold. The Publisher and its licensors retain all rights, title and interest in the Software, including all intellectual-property rights, except for the limited rights expressly granted in this Agreement.
The purchase price is payment for the licence rights described in this Agreement. It does not transfer ownership of the Software or its source code to the Licensee.
## 4. Paid Edition licence grant
Subject to payment of the applicable subscription price and compliance with this Agreement, the Publisher grants the Licensee a limited, non-exclusive, non-transferable and time-limited licence to use FilmContractor Full while the subscription remains active.
The licence permits:
- use by one named User for the Licensee's own personal, professional or internal business purposes;
- commercial use of the Software to prepare documents in the course of the Licensee's own business or employment; and
- installation and use on one Windows computer used personally by that same named User, whether the computer is owned by the User or supplied to that User by an employer or organisation, unless the applicable Authorised Distribution Channel expressly grants a different device entitlement.
The licence is neither a multi-device nor a multi-user licence. The Software and licence key must not be installed, shared or made available for use by a family member, colleague, employee, contractor or any other person instead of, or in addition to, the named User. The named User may transfer the licence to a replacement computer provided that use on the previous computer is discontinued. An organisation requiring use by more than one person must acquire a separate subscription for each User unless the Publisher agrees otherwise in writing.
FilmContractor Full includes all features made available in the Software during the active subscription, subject only to reasonable technical, security and fair-use limits stated on the product page, in the order confirmation or in the Software.
## 5. Trial
The Authorised Distribution Channel may provide a seven-day trial solely to evaluate whether the Software is suitable for the User's needs. During that period, the User receives the same FilmContractor Full functionality as an active paid subscriber, without reduced template or document-generation limits.
Unless cancelled before the trial ends, the annual subscription price displayed at checkout is charged when the seven-day period expires and the subscription then renews annually until cancelled. Trial eligibility, payment details, cancellation and any channel-specific conditions are administered by the Authorised Distribution Channel and shown during checkout.
Expiry or cancellation of the trial does not intentionally delete the User's company records, contract register, templates or generated documents. Continued access to particular local data may nevertheless depend on the Software remaining installed, the relevant files remaining available and the normal operation of the User's device.
## 6. Restrictions
Except where applicable law expressly permits otherwise, the Licensee must not:
- copy, distribute, sublicense, rent, lease, lend, sell or transfer the Software or a licence key independently of a permitted transfer through an Authorised Distribution Channel;
- allow an unlicensed person to use the Software as if that person were a licensed User;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software;
- circumvent, disable or interfere with licensing, trial, activation, security or usage-limit mechanisms;
- remove or alter proprietary, copyright, attribution or third-party notices;
- modify the Software or create derivative works from it;
- use the Software to provide a hosted or shared software service to third parties without the Publisher's written permission;
- use the Software in violation of applicable law or the rights of another person; or
- use or distribute the Software, its example content or generated output in a misleading, fraudulent, unlawful or harmful manner.
These restrictions do not override rights that cannot lawfully be excluded, including any statutory right to observe, study, test, decompile or make a backup copy in circumstances expressly permitted by applicable law.
## 7. Templates, user data and generated documents
As between the Publisher and the Licensee, the Publisher does not claim ownership of templates, business data or other content created by the User and imported into or entered in the Software.
Subject to the rights attached to the source templates, fonts, images, wording and other materials used, the Publisher does not claim ownership of documents generated by the User with the Software.
The User is solely responsible for:
- having the necessary rights and lawful basis to use all names, personal data, company details, templates, logos, images, contract wording and other input content;
- reviewing every generated document before relying on, signing, sending or distributing it;
- ensuring that generated documents are accurate, complete, appropriate and legally effective for their intended purpose;
- retaining suitable backups and applying appropriate security, access-control and retention measures; and
- complying with data-protection, employment, tax, accounting, contractual and other laws applicable to the User's activities.
The Software is a document creation, form-filling and management tool. It is not a law firm, lawyer, accountant or tax adviser and does not provide legal, accounting or tax advice. Use of the Software does not create a professional-client relationship with the Publisher.
## 8. Example templates and sample data
Any example templates, sample contracts, placeholder text, sample companies and other demonstration content supplied with the Software are provided only to illustrate the operation of the Software.
They are not intended to be complete, suitable for a particular transaction or compliant with the law of any particular country. They must not be treated as legal advice or used without appropriate independent review and adaptation.
The User is responsible for replacing or adapting sample materials before real-world use.
## 9. Microsoft Word and third-party products
Some functions of the Software require a compatible, properly licensed desktop edition of Microsoft Word and a supported Windows environment. Microsoft Word, Microsoft Windows and any third-party storage, email, backup or signing service are separate products and are not supplied or licensed by the Publisher under this Agreement.
The Publisher does not control third-party products and does not guarantee their continued availability or compatibility. The User is responsible for obtaining and maintaining all required third-party licences.
The Software may include third-party components governed by separate open-source or third-party licence terms. Applicable notices are supplied with the Software. Where those terms grant rights that conflict with this Agreement, the third-party terms govern the relevant component to the extent of the conflict.
## 10. Updates and new versions
The licence applies while the FilmContractor Full subscription remains active. Updates made available during that period may be supplied without an additional licence fee through the applicable Authorised Distribution Channel. Continued use after the subscription ends requires reactivation of that subscription or acquisition of another valid entitlement.
The Publisher may release a later Major Version as a separate product or paid upgrade. The licence to an earlier Major Version does not automatically include a licence to a later Major Version.
The Publisher may change, add or remove features in updates where reasonably necessary for maintenance, security, compatibility, legal compliance or product development. The Publisher will provide updates, including security or conformity updates, where and for as long as required by applicable mandatory law.
Nothing in this Section guarantees that optional feature development, compatibility with every future version of Windows or Microsoft Word, or support for an obsolete operating environment will continue indefinitely.
## 11. Privacy and local storage
The Software primarily processes and stores its application data locally on the User's Windows device or in folders selected by the User. The Software does not require a FilmContractor cloud account and does not automatically upload contract content, company records, templates or generated documents to the Publisher during ordinary use.
Further information is provided in the FilmContractor Privacy Policy available at the privacy-policy address shown in the Microsoft Store listing and on the product website.
If the User selects a cloud-synchronised folder, external website, email application or other third-party service, that service is governed by its own terms and privacy policy.
## 12. Support
Product support is available through the contact details in Section 1 and the support page identified in the Store listing.
Support covers reasonable assistance with installation, application operation, supported placeholders and document-generation behaviour. Support does not include drafting or reviewing contracts, determining legal compliance, restoring data for which the User has no backup, or supporting unauthorised modifications and unsupported third-party environments.
The Publisher may request diagnostic information or a redacted example. The User should not send confidential documents, personal data, bank details or production information unless expressly requested through an agreed secure method.
## 13. Conformity, warranties and mandatory rights
The Publisher warrants that it has authority to grant the licence described in this Agreement.
Where mandatory consumer or digital-content law applies, the Software will be supplied with the statutory rights, legal guarantee, remedies and conformity requirements provided by that law. Those rights are not excluded or reduced by this Agreement.
Subject to those mandatory rights, the Software is provided on an "as available" basis. The Publisher does not warrant that the Software will be uninterrupted or error-free, that every third-party template will be compatible, or that generated documents will satisfy the User's legal, commercial, accounting or production requirements without review.
The Trial Edition is provided for evaluation and may contain the restrictions described in Section 5.
## 14. Limitation of liability
Nothing in this Agreement excludes or limits liability where exclusion or limitation is prohibited by law, including liability for intentional misconduct, or any other liability that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, the Publisher is not liable for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of business opportunity, loss caused by an unreviewed or legally unsuitable document, or loss of data that could reasonably have been avoided by maintaining appropriate backups.
To the maximum extent permitted by applicable law, the Publisher's aggregate liability arising out of or relating to the Software or this Agreement is limited to the amount paid for the affected Software licence.
The limitations in this Section do not restrict any mandatory consumer remedy and do not apply to the extent that the loss was caused intentionally or in circumstances in which applicable law does not permit the limitation.
## 15. Purchases, pricing, withdrawal and refunds
Prices, taxes, payment processing, invoicing and any platform-specific refund procedure are governed by the terms presented by the applicable Authorised Distribution Channel at the time of purchase, together with mandatory applicable law.
Nothing in this Agreement removes a consumer's statutory right of withdrawal, refund, price reduction, repair, replacement, termination or other remedy where that right applies.
Where applicable law permits the right of withdrawal for downloaded digital content to end after supply begins, any required prior express consent, acknowledgement and contractual confirmation must be obtained through the purchasing process. Acceptance of this Agreement alone is not intended to replace a separate consent where the law requires one.
## 16. Term and termination
This Agreement begins when the User first installs, accesses or uses the Software and continues until terminated.
The Licensee may terminate it at any time by ceasing use and uninstalling all copies of the Software under the Licensee's control.
The licence terminates if the Licensee materially breaches this Agreement and, where the breach can be remedied, fails to remedy it within a reasonable period after notice. Termination does not affect accrued rights, mandatory statutory remedies or provisions that by their nature should survive, including ownership, restrictions, responsibility for content, limitation of liability and governing law.
Upon termination, the User must stop using and uninstall the Software. Termination does not transfer ownership of or automatically delete the User's independently stored templates and generated documents.
## 17. Changes to this Agreement
The Publisher may update this Agreement for future purchases, renewals or future versions of the Software. Material changes will not retrospectively shorten a paid licence term already granted, unless the change is required by law or accepted by the Licensee.
Updates or additional services may be accompanied by additional terms that apply prospectively to those updates or services.
## 18. Governing law and disputes
This Agreement is governed by the laws of Hungary, without prejudice to mandatory rules that protect a consumer in the country where the consumer habitually resides.
The parties should first attempt to resolve a dispute by contacting the Publisher using the details in Section 1.
If the Licensee is acting in the course of business, the competent courts of Hungary have jurisdiction, subject to any mandatory rule to the contrary. If the Licensee is a consumer, this Agreement does not restrict the consumer's right to bring proceedings or use an alternative dispute-resolution mechanism available under mandatory applicable law.
## 19. General provisions
If any provision of this Agreement is held invalid or unenforceable, it will be applied to the maximum extent permitted and the remaining provisions will remain in effect.
Failure to enforce a provision is not a waiver of that provision.
The headings are for convenience and do not affect interpretation.
This Agreement, the applicable Store or purchase terms, the Privacy Policy and any terms accompanying a particular update constitute the relevant terms governing use of the Software. If an Authorised Distribution Channel imposes mandatory terms that conflict with this Agreement, those mandatory channel terms prevail to the extent of the conflict.
